Welcome to Venz Market LLC The terms “we”, “us” and “our” refer to Venz Market LLC. Venz Market operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the “Services”). Venz Market is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced in them (these “Terms of Service”), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services. These Terms of Service do not limit any rights you may have under applicable consumer protection laws or any other non-waivable statutory rights.

1. Access and account
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and that you have given consent for any of your minor dependents to use the Services on devices you own, purchase or manage. To use the Services, including browsing our online store or purchasing products, you may be asked to provide information such as your email address and your billing, payment and shipping information. You represent and warrant that all information you provide is correct, current and complete, and that you have all rights necessary to provide it. You are solely responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

2. Our products
We make every effort to show our products accurately in our online store. However, colors or product appearance may differ from how they appear on your screen because of your device and its settings. We do not warrant that the appearance or quality of any product will meet your expectations or be the same as shown in our online store. Product descriptions may change at any time without notice. We reserve the right to discontinue any product at any time and to limit the quantities of any product we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

3. Orders
When you place an order, you are making an offer to purchase, and you authorize us and our payment processors to charge your selected payment method for the total amount of your order. Venz Market may accept or decline any order for any reason, subject to applicable law. Your order is not accepted until we confirm it, and we must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as we may not be able to accept cancellation requests after an order is accepted. If we do not accept, change or cancel an order, we may contact you using the email, billing address and/or phone number you provided. Returns and exchanges are handled only in accordance with our Return & Refund Policy. This does not limit any rights you may have under applicable law.

Orders placed through our online store are intended for personal or household use. Businesses and resellers are welcome to buy from us; larger or recurring business orders may be placed through our business quote form, and their pricing, quantities and shipping terms will be confirmed in writing in the quote.

4. Prices and billing
Prices, discounts and promotions may change without notice. The price charged for a product is the price in effect when the order is placed, as shown in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs or import charges. Our prices may differ from prices in physical stores or in stores operated by third parties. From time to time we may offer promotions governed by separate terms; if those terms conflict with these Terms of Service, the promotion terms will govern.

You agree to provide current, complete and accurate purchase, payment and account information, and to promptly update it, including your email address and payment details, so we can complete your transactions and contact you as needed. You represent and warrant that (1) you are authorized to use the payment method you provide, (2) the information you provide for that payment method is true, correct and complete, (3) charges you incur will be honored by your payment provider, and (4) you will pay charges you incur at the posted prices, including shipping, handling and all applicable taxes.

5. Shipping and delivery
Except as otherwise stated, we are not liable for shipping and delivery delays. All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing or events outside our control. To the fullest extent permitted by law, title and risk of loss pass to you when we transfer products to the carrier, unless applicable law provides otherwise. We are not responsible for delays or failures caused by events beyond our reasonable control, including carrier or customs delays, natural disasters, severe weather, labor disputes, supply shortages, utility or telecommunications outages, cyber incidents or government actions. 6. Intellectual property
Our Services, including all trademarks, brands, text, images, graphics, product reviews, video and audio, are owned by Venz Market, its affiliates or licensors, and are protected by U.S. and foreign trademark, copyright and other intellectual property laws. Product listings are managed and owned by Venz Market. Buying a product does not give you any intellectual property rights in the product, its design, software or underlying technology; all such rights remain with Venz Market or the original rights holder. You may use the Services for your own lawful purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material from the Services without our prior written consent.

Venz Market’s name, logo, product and service names, designs and slogans are trademarks of Venz Market or its affiliates or licensors, and you may not use them without our prior written permission. Shopify’s name, logo and related marks are trademarks of Shopify. All other names, logos and marks on the Services belong to their respective owners, including the brands of the products we sell.

7. Optional tools
We may give you access to third-party tools that we do not monitor or control. You acknowledge that we provide such tools “as is” and “as available”, without any warranties or endorsement, and we have no liability arising from your use of them. Any use of optional tools is at your own risk, and you should review the terms of the third-party provider. New features or tools we offer in the future are also part of the Services and subject to these Terms of Service.

8. Third-party links
The Services may contain materials and links to websites operated by third parties. We are not responsible for reviewing or evaluating the content or accuracy of third-party materials or websites. If you access them, you do so at your own risk, and we are not liable for any harm or damages related to third-party websites, products or services. 9. Relationship with Shopify
Venz Market is powered by Shopify. When you use the Services, your device communicates with Shopify’s systems to deliver them. However, any sales and purchases you make in our store are made directly with Venz Market. Shopify is not responsible for any aspect of sales between you and Venz Market, including any injury, damage or loss resulting from purchased products, and you release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases from Venz Market.

10. Privacy policy
Our Privacy Policy explains how we collect, use and disclose personal information from your use of the Services. Because the Services are hosted by Shopify, Shopify also collects, uses, processes and stores personal information about your access to and use of the Services, including your transactions, for purposes such as providing, securing and improving the Services, processing transactions and helping prevent fraud. Information on the Services may occasionally contain typographical errors, inaccuracies or omissions related to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct them and to change information or cancel orders if information is inaccurate, including after an order is submitted. If we cancel an order after payment has been collected, we will issue any refund required by applicable law.

You may use the Services for lawful purposes only. You may not use the Services, directly or indirectly, to: break any law or regulation; infringe our intellectual property rights or the rights of others; harass, abuse, defame or harm any of our employees or any other person; send false or misleading information; send spam or unsolicited advertising; impersonate any person or entity; or engage in any conduct that restricts anyone’s use of the Services or that may harm Venz Market, Shopify or other users.

You also agree not to: upload or transmit viruses or malicious code; copy, extract or exploit any part of the Services without permission; collect or track other people’s personal information; use bots, scrapers, automated tools or AI agents to access the Services except as allowed in section 14; or bypass any security or access-control measures. We may suspend, disable or terminate your account at any time, without notice, if we determine that you have violated these Terms.

14. Agents

We may end this agreement or your access to the Services at any time, in our sole discretion and without notice. You remain responsible for all amounts due up to the date of termination. EXCEPT AS EXPRESSLY STATED BY VENZ MARKET, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THESE DISCLAIMERS, SO THEY MAY NOT APPLY TO YOU. PRODUCTS WE SELL MAY BE COVERED BY THEIR MANUFACTURERS’ OWN WARRANTIES.

17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL VENZ MARKET, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM, EVEN IF ADVISED OF THEIR POSSIBILITY. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. Indemnification
You agree to indemnify, defend and hold harmless Venz Market, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party and arising from (1) your breach of these Terms of Service, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services. We will notify you of any such claim, and we may control its defense and settlement at your expense, but we will not settle any claim requiring non-monetary obligations from you without your consent, which will not be unreasonably withheld. You agree to cooperate in the defense of such claims.

19. Severability
If any provision of these Terms of Service is found to be unlawful, void or unenforceable, it will still be enforced to the fullest extent permitted by law, and the unenforceable part will be considered removed without affecting the remaining provisions. Nothing in these Terms limits rights you have under consumer protection or other laws that cannot be waived by contract.

20. Waiver; entire agreement
If we do not exercise or enforce any right or provision of these Terms of Service, that does not waive the right or provision. These Terms of Service and any policies posted by us on this site are the entire agreement between you and us regarding the Services and replace any prior agreements, communications or proposals, oral or written, including prior versions of these Terms. Any ambiguities will not be interpreted against the drafting party.

You may not delegate, transfer or assign these Terms or any of your rights or obligations under them without our prior written consent. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or notice.

22. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. You and Venz Market consent to the jurisdiction and venue of the state and federal courts located in Florida, except where prohibited by applicable law. Nothing in this section limits any right you may have to bring claims in your local courts or to rely on mandatory laws of your place of residence.

These Terms of Service may be available in languages other than English. If there is any conflict between the English version and another language version, the most current English version will prevail.
